M&A ROAD MAP


Bloomhead maps out the systematic yet transparent approaches to ensure both Client and potential buyers / investors reserve fair processes for benefit of each interest.

OFFICIAL MANDATE


Receiving official mandate from our Client would be first crucial stage. With this, we are exclusively assigned by Client to represent them for managing entire processes of M&A, starting from identifying the potential investors, preparing confidential information memorandum, overseeing due diligence, to finalizing negotiation with selected buyer.

NEGOTIATION SUPPORT


We stand beside our Client during day-to-day negotiations with prospective investors, negotiating terms with shortlisted investor, and finalizing the M&A deal.

DOCUMENT AND LEGAL DRAFT


Bloomhead is responsible to prepare documents submitted to potential investors, including the legal drafts. Such documents as Non disclosure agreement, Confidential information memorandum, Non binding offer, Sell purchase agreement are delicately drafted and reviewed to ensure critical points have been addressed properly.

BUSINESS VALUATION


Synergizing numbers between Client’s expectation and average industry valuation is a thoughtful challenge in this stage. We work closely with our Client in order to arrive with a fixed range of numbers that are acceptable when a Non binding offer is received from one of the potential investors.

DUE DILIGENCE


When a potential investor has been shortlisted to enter an exclusive stage, it will bring teams of financial, legal, and operational to conduct due diligence in our Client’s premise. Under the road map, which is previously outlined and communicated in early stage, Bloomhead will advise Client going through this process.
